Flamma Acquires API Manufacturing Site In Padova, Italy

Acquisition will Establish Four cGMP Manufacturing Facilities in Italy and Strengthens Flamma's Position in the Global Small Molecule CDMO Marketplace
Bergamo, Italy – Flamma, a global Contract Development and Manufacturing Organization (CDMO) focused on small molecule APIs, peptides and advanced intermediates, today announced that it has entered into an agreement to acquire Lundbeck Pharmaceuticals Italy SpA (“LuPI”) from H. Lundbeck A/S (“Lundbeck”). The transaction is subject to customary closing conditions and is expected to close on January 1, 2027.
The acquisition marks another important step in Flamma's strategic expansion and reinforces the company's commitment to investing in high-quality pharmaceutical manufacturing infrastructure. Upon completion of the transaction, Flamma will operate four cGMP API manufacturing sites within close proximity to one another in Northern Italy, along with its manufacturing operations in China and in the United States.
The Padova facility contributes up to 220 m³ of manufacturing capacity, increasing Flamma's total capacity to approximately 1,100 m³ in Italy. The site also adds a state-of-the-art API manufacturing workshop, recently approved by AIFA ,together with advanced technological capabilities including hydrogenation, micronization, high-pressure chemistry, hazardous chemistry, and high-containment manufacturing with a longstanding reputation for quality, operational excellence, and the successful development and manufacture of complex APIs.
By combining expanded manufacturing capacity with deep technical expertise, regulatory excellence and a highly experienced workforce, the acquisition further enhances Flamma's ability to support pharmaceutical innovators from early-stage development through commercial supply. It also advances Flamma's long-term strategy of building a differentiated global CDMO platform focused on complex small molecule APIs, as well as high-value amino acids and peptides, combining scientific expertise, manufacturing excellence, and supply chain reliability to serve pharmaceutical innovators worldwide.
Lazard is acting as exclusive financial advisor and NCTM Advant as legal advisor to Flamma in connection with the transaction. Canaccord Genuity is acting as exclusive financial advisor and Baker McKenzie as legal advisor to Lundbeck.
